An employer of record in the United States lets a company with no US entity employ American workers: the EOR's US entity is the legal employer, pays wages under its own EIN, withholds federal and state taxes, issues the Form W-2 and carries the employment administration, while the client directs the work. The US twist is that the country runs employment as a federal-plus-state system, so the quality of a US EOR is measured state by state, not nationally.

EOR and PEO mean different things in the US

In US usage, a PEO co-employs workers with a client that already has a US entity: the arrangement divides employer responsibilities by contract, with the PEO remitting wages and employment taxes under its EIN and issuing the W-2, while the client remains an employer. An EOR, by contrast, is the sole employer, which is what a foreign company without a US entity needs. The industry association NAPEO reports that PEOs serve hundreds of thousands of businesses covering millions of workers, which is worth knowing mainly because many US providers sell both products, and the contract you sign determines which one you have, whatever the sales page said.

The IRS CPEO program, and what it certifies

The IRS operates a voluntary certification program for professional employer organizations. To be certified, a CPEO must be a business entity with at least one physical US location, demonstrate a history of financial responsibility, organizational integrity and tax compliance, and be managed primarily by US citizens or residents with employment tax competence; the application runs through identity verification, personal attestations by responsible individuals and a controlled-group submission. Certification is about federal employment tax administration, and the IRS publishes public listings of certified organizations. It is a real signal on the tax side; it is not a general quality mark for benefits, insurance or state compliance, which have to be checked separately.

The state layer is where US hiring gets granular

Federal withholding is uniform; nearly everything else varies by state. State income tax withholding, state unemployment insurance accounts, workers compensation coverage rules, paid leave schemes, final-paycheck timing and notice requirements all attach to where the employee works, and a remote US team of five can span five different regimes. A competent US EOR is registered as an employer in the states where your people sit before their first payday, not after, and can show the registrations. When comparing providers, ask specifically about the states you are hiring in; national coverage claims are cheap, state registrations are checkable.

What to check in a US EOR

Confirm which entity will appear on the employee's W-2 and its EIN, whether that entity or an affiliate holds any IRS CPEO certification, and which state employer registrations it holds for your hires. Ask how benefits are delivered, since US candidates evaluate offers on health cover, and how workers compensation is arranged per state. Ask what happens on exit: US employment is generally at-will, but accrued obligations, final pay deadlines and benefits continuation under COBRA still have state and federal rules.
