The registration route at the Registrar

  1. Prepare before you file. Settle the share structure, directors, secretary and registered office address, and engage a Cyprus lawyer or corporate services firm. The constitutional documents, the memorandum and articles of association, are drafted at this stage and everything downstream moves faster when they are right first time.
  2. Apply for name approval. Submit the proposed name to the Registrar through its e-services portal and wait for the examination result, which is delivered online. Names conflicting with existing registrations or considered misleading are refused, so filing alternatives alongside your first choice protects the timetable.
  3. Submit the incorporation application. File the incorporation forms with the memorandum and articles and the details of officers, shareholders and the registered office. The department supports electronic filing of company documents through its e-filing system, and professional firms handle the submission and any Registrar queries.
  4. Receive the certificate of incorporation. The certificate is the legal birth of the company. With it, the company can obtain certified copies of its corporate documents, contract in its own name and open the registrations that let it operate: tax, VAT where the activity requires it, and employer registration before any hire.
  5. Meet the after-incorporation obligations. The Registrar's own guidance treats after-incorporation as a stage in its own right: annual returns, changes to officers or capital filed as they happen, and beneficial ownership kept current. Company or branch: two ways in for a foreign business

An existing US or other foreign company does not have to create a new Cypriot company; Cyprus also registers overseas companies operating a local place of business, the branch route.
