The Cyprus incorporation process

1. Choose and clear the name. Apply for name approval before preparing the filing. The Registrar publishes its review criteria and the most frequent reasons for rejection; names implying licensed activities need the sectoral approvals obtained in advance, and a rejected name restarts the clock.
2. Draft the memorandum and articles. A Cyprus lawyer prepares the constitutional documents, signed in Greek, either bespoke or adopting the standard regulations of Table A of Schedule I of the Companies Law. The company's objects, share capital and internal rules are fixed here, so decisions about structure precede the filing rather than follow it.
3. File HE1 and the accompanying forms. The lawyer swears the Form HE1 statutory declaration before the court and files it with the memorandum and articles through the Registrar's e-filing system, or by hand or post with Form HE2 for the registered office and Form HE3 for directors and secretary; public companies add Form HE5. An expedited track is available for an additional published fee.
4. Certificate, then registrations. The Registrar issues the certificate of incorporation, after which the company registers with the Tax Department, for VAT where applicable, and with Social Insurance Services as an employer before any hire. Annual returns and the Registrar's ongoing fees begin from incorporation.

What the company must maintain from day one

A private company limited by shares, the standard vehicle, needs at least one director, a company secretary and a registered office in Cyprus, all notified to the Registrar and kept current through the same HE-series forms. The Registrar's fee schedule, covering standard registration, the higher fee for companies without share capital, expedited processing and translation filings, is published on its Forms and Fees pages; read the amounts there, since they are revised and secondary summaries go stale.

Budget beyond the Registrar: the mandatory lawyer's fee for drafting and the sworn declaration, registered office and secretarial services where the company has no premises of its own, accounting and audit, and the annual compliance cycle. Cyprus is an attractive EU jurisdiction, but the attraction assumes the company has real work to do; an idle entity still generates all of these costs.

Incorporation or an EOR: pick by the job to be done

If the goal is the company itself, EU contracts, holding assets, regulated activity, banking, incorporation is the tool and the process above is the price of admission. If the goal is employing a person who lives in Cyprus, incorporation is the slow and heavy option: an employer of record with a Cyprus entity can issue a compliant employment contract, run payroll, tax withholding and social insurance, and carry the local employer duties within days, with nothing for you to maintain.
