How registering a Cyprus company works

1. Clear the company name. Apply to the Registrar for name approval before anything else. Names that suggest restricted activities or require sectoral approvals need those cleared in advance; the Registrar publishes its review criteria and the most frequent reasons for rejection, and checking them first avoids a failed round trip.
2. Prepare the constitutional documents. A Cyprus lawyer drafts the memorandum and articles of association, signed in Greek, either bespoke or adopting the standard regulations in Table A of Schedule I of the Companies Law. The lawyer also signs the statutory declaration, Form HE1, sworn before the court.
3. File the application with the Registrar. Submit Form HE1 with the memorandum and articles, via the Registrar's e-filing system or by hand or post; paper submissions also include Form HE2 notifying the registered office address and Form HE3 with the directors and secretary, and public companies add Form HE5. An expedited processing option is available for an additional fee published by the Registrar.
4. Receive the certificate and register for tax. Once approved, the Registrar issues the certificate of incorporation. The company then registers with the Tax Department for a tax identification number and, where relevant, VAT, and as an employer with Social Insurance Services before hiring staff. Annual returns and fees to the Registrar follow as ongoing obligations.

The requirements behind the forms

A Cyprus private company needs at least one director, a company secretary and a registered office address in Cyprus, and changes to any of these are notified to the Registrar on the same HE-series forms used at incorporation. The Registrar's fee schedule, including the standard registration fee, the surcharge for companies without share capital, the expedited processing fee and translation filing fees, is published on its Forms and Fees pages and should be read from there directly, since the amounts are revised from time to time.

The lawyer's statutory declaration is not a formality you can route around: Cyprus incorporation runs through a locally admitted lawyer by design. Budget for that professional fee on top of the Registrar's charges, and for registered office and secretarial services if the company will not have its own premises and staff in Cyprus from day one.

Do you need the company, or just the employee?

It is not.
